These Terms & Conditions of Sale govern the supply of goods by DZL Construction Pty Ltd (ABN 53 698 419 313) (“we”, “us”) to business customers (“you”). They apply to every quote, purchase order and sale and prevail over any of your terms unless we agree otherwise in writing. This is a business-to-business supply; goods are not offered for personal, domestic or household use.
1. Quotes, purchase orders and acceptance
Our website does not take online payment. Adding items to an order submits a request for a purchase order / quotation. Quotes are estimates only, are valid for 30 days unless stated otherwise, and are not an offer capable of acceptance. A binding contract forms only when we confirm your order in writing (including confirmed pricing, quantities, lead time and freight). We may decline or correct any order, including for pricing or stock errors.
2. Prices and GST
Prices shown online or in catalogues are indicative and exclusive of GST, freight, insurance and duties unless stated. Final pricing is confirmed before the contract forms. Volume/quantity pricing is subject to confirmation. GST will be added where applicable and shown on a valid tax invoice.
3. Payment
Unless an approved credit account applies, payment is due as stated on our invoice. We may suspend supply or withhold goods for overdue accounts and may charge interest and reasonable recovery costs on overdue amounts. Approved-account terms are set out separately.
4. Delivery, freight, risk and title
Freight is quoted separately. Delivery dates and lead times are estimates and not guaranteed; we are not liable for delays outside our reasonable control. Risk in the goods passes to you on delivery (or collection). Title remains with us until we have received payment in full for the goods and all other amounts you owe us.
5. Custom, OEM/ODM and made-to-order goods
For custom-manufactured goods you are responsible for the accuracy of the drawings, samples, tolerances, materials and specifications you provide, and for confirming any pre-production sample. Minimum order quantities apply. Custom and made-to-order goods are non-cancellable and non-returnable once production has commenced, except for a failure to meet the agreed specification.
6. Inspection, acceptance and shortages
You must inspect goods on delivery and notify us in writing of any shortage, damage or non-conformance within 7 days of delivery. Goods not rejected within that period are deemed accepted.
7. Warranty, returns and the Australian Consumer Law
Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy that applies under the Australian Consumer Law (ACL) and cannot lawfully be excluded. To the extent the ACL permits (including where goods are acquired for re-supply or for business use), our liability for a failure to comply with a guarantee is limited, at our option, to repairing or replacing the goods, supplying equivalent goods, or paying the cost of doing so. Outside non-excludable guarantees, goods are sold without further warranty. Returns of standard stock (if accepted) may be subject to a restocking fee and must be unused and in original condition.
8. Limitation of liability
To the maximum extent permitted by law, our total liability arising out of or in connection with any goods or these terms is limited to the price paid for the relevant goods, and we are not liable for any indirect, special or consequential loss, or loss of profit, revenue, production or business.
9. Intellectual property and confidentiality
Each party retains its own intellectual property. Drawings, tooling and specifications you provide remain yours; you warrant you have the right to provide them and that they do not infringe third-party rights. We keep your specifications confidential and use them only to supply your order.
10. Force majeure, cancellation and general
We are not liable for failure or delay caused by events beyond our reasonable control. We may cancel an order if you breach these terms. If any provision is unenforceable, the rest continues to apply.
11. Governing law
These terms are governed by the laws of Victoria, Australia, and the parties submit to the non-exclusive jurisdiction of its courts.
